Since the sale of Calton Homes at the end of 1998, Calton, Inc. has been analyzing potential acquisitions and other business opportunities. With a view toward enhancing shareholder value, Calton, Inc. is focusing on acquiring companies that will benefit from technology, including the Internet. Combining capital, management and acquisition strategy with promising companies creates a stimulating environment for the growth of each partnering entity. Since the sale of its homebuilding operations, Calton, Inc. has accomplished the following achievements:

  • In July 1999, the Company acquired iAW, Inc., an Internet business solutions provider which has been renamed eCalton.com, Inc., as a platform to establish a presence in the Internet and e-business industries. eCalton is headquartered in Vero Beach, FL.

  • eCalton / Houston is a Professional Information Technology Group whose Service Offerings include Applications, Infrastructure, Project Management (PMO), SAP, Supply Chain Management (SCM), Customer Relationship Management (CRM), and Internet/intranet development and design.

    eCalton / Houston provides innovative information technology professionals that empower large and medium sized businesses to rapidly create, deliver, and manage IT solutions and Internet initiatives. eCalton offers our clients proven cost-effective services and experienced consulting professionals to meet project and ongoing support needs.

  • In January 2000 the Company acquired a 50.4% interest, and subsequently acquired a 100% interest, in PrivilegeONE NetworksTM LLC, a company that developed a unique program to enhance customer loyalty to individual franchised new vehicle dealers.

  • In May 2001, PrivilegeONE formed a strategic alliance with Fleet Credit Card Services, a subsidiary of FleetBoston Financial, to issue the PrivilegeONE Visa® card.
  • Also In May 2001, John G. Yates joined PrivilegeONE as CEO and President. John brings a wealth of general management and credit card experience to the Company. Most recently he was Senior Vice President and General Manager of American Express Corporate Purchasing Card Business, where he originated the concept. Prior to that, John spent more than 20 years with General Electric in a variety of general management positions. John is a graduate of the University of Massachusetts and the GE Executive Development Program.
  • In June 2000, the Company acquired a 51% interest in Innovation Growth Partners (IGP), a newly-formed entity established to develop businesses and provide management and consulting services to entrepreneurial and development stage companies. For their services, IGP is compensated by cash, and accepting equity positions in its clients, or a combination of both.

  • IGP acquired a 51% interest in MindSearch, Inc., a company which has developed technology to provide consumer research to businesses on a faster and broader basis than existing research approaches.
  • In July 2000, the Company appointed Gerald Stanley to the Board of Directors. Mr. Stanley is currently serving as an independent consultant with a focus on advanced computing and communications. His experience and background include past President and CEO of Real 3D, and Vice President and General Manager of the Manufacturing Systems Division for Martin Marietta Data Systems.

  • Management continues to work with our subsidiaries to reach profitability on an accelerated timeframe and is seeking to form strategic alliances that augment the process.

  • The Company has repurchased Calton stock pursuant to its stock repurchase program at prices below book value, thereby increasing the book value per share of the shares that remain outstanding.

  • Calton, Inc. continues to actively review business plans and to meet with representatives of potential acquisition candidates.
